Data Room Readiness and Checklist

A data room is ready when it contains the documents a counterparty's diligence will request, organised and complete — typically corporate, financial, commercial, legal, people, and technology records. AI readiness scoring checks a room against a checklist like this automatically and flags what is still missing, so gaps are closed before a counterparty finds them.

This page provides a deal-type-segmented checklist and explains AI readiness scoring.

What should be in a data room? (checklist)

A ready data room covers the categories diligence examines. The core checklist, which most deal types share:

  • Corporate — incorporation documents, cap table, board minutes, shareholder agreements.
  • Financial — audited statements, management accounts, projections, tax filings.
  • Commercial — material customer and supplier contracts, pipeline, pricing.
  • Legal — litigation, intellectual property, regulatory and compliance records.
  • People — org chart, key employment agreements, option plans.
  • Technology and data — architecture, security posture, data-protection records.

How does the checklist differ by deal type?

The core categories hold; the emphasis shifts with the deal. The table shows where each use case adds or weights documents.

How does AI readiness scoring work?

AI readiness scoring assesses the room against a checklist and flags what is missing before counterparties do. The readiness agent reviews the uploaded documents, compares the set to the expected categories for the deal type, and reports completeness with the specific gaps — so you know the room is ready, or exactly what to add, before you open it.
