Document Redaction in Due Diligence

To redact documents in a data room, you permanently obscure sensitive text — names, personal data, pricing, or anything a counterparty should not see — before the documents are disclosed. In a manual workflow a person reviews each page; with AI redaction, the system locates that information automatically and proposes redactions you confirm before they are applied.

How do you redact documents in a data room?

You identify the sensitive content, obscure it permanently, and confirm before disclosure. The steps:

  1. Identify the sensitive content — names, personal data, commercial terms, or third-party information you cannot share.
  2. Apply the redaction so the content is permanently removed from the version that is disclosed, not merely hidden behind a black box that can be copied underneath.
  3. Review the redacted version before granting access, so nothing sensitive slips through and nothing necessary is over-redacted.
  4. Disclose the redacted version to the permitted parties.

Why does redaction matter in due diligence?

Because disclosure in diligence is partial by design — you share what a counterparty needs to evaluate the deal without exposing data you are obliged to protect. Contracts contain third-party names and pricing; HR files contain personal data; financials may reference parties under NDA. Redaction is how you disclose the substance while honouring those obligations, and a missed redaction in a disclosure set is a real compliance and confidentiality risk.
