What Is a Virtual Data Room?

A virtual data room (VDR) is a secure online repository where a company shares confidential documents with controlled access — typically for due diligence, fundraising, or a transaction. It adds permissions, audit trails, and viewer controls that a shared folder lacks, so the people who run a deal can disclose sensitive material to specific parties without losing control of it.

The term comes from the physical "data room" that companies once used: a locked room of paper documents that bidders visited under supervision. A virtual data room is the digital equivalent, with finer control and a complete record of who saw what.

What does a virtual data room do?

A virtual data room stores documents and controls exactly who can access them, how, and for how long. Its core functions:

  • Controlled access — grant each person a permission level, per room, and change or revoke it at any time.
  • Secure viewing — let people read documents without downloading, with watermarking to deter leaks.
  • Audit trail — record every view and download, so you know who accessed what and when.
  • Organisation — structure documents so a reviewer can navigate the set.

When do you need a virtual data room?

You need a VDR whenever you must share confidential documents with an external party under controlled access — most commonly due diligence, a fundraise, an M&A transaction, or a lending facility. The trigger is the combination of sensitivity and external sharing: the moment documents must reach someone outside the company but must not be freely copied or forwarded, a shared folder is no longer adequate.

How is an AI data room different from a regular VDR?
